    WORKKE TERMS OF SERVICE

    Welcome to WorkKE ("WorkKE", "we", "our", or "us"), a digital marketplace that connects clients, freelancers, cybercafés, businesses, merchants, trainers, consultants, agencies, and digital service providers.

    These Terms of Service ("Terms") govern your access to and use of the WorkKE website, mobile applications, marketplace, messaging services, payment features, digital products, training services, tools, and any other products or services offered by WorkKE (collectively, the "Platform").

    By creating an account, accessing the Platform, or using any WorkKE service, you confirm that you have read, understood, and agree to these Terms together with our Privacy Policy, Vendor Agreement, Wallet & Payments Policy, Acceptable Use Policy, and any other policies applicable to your use of WorkKE.

    If you do not agree to these Terms, you must not use the Platform.

    1. DEFINITIONS

    For purposes of these Terms:

    Platform means the WorkKE website, mobile applications, APIs, payment features, marketplace, messaging services, digital tools, and related services.

    User means any individual or organization accessing or using the Platform.

    Client means a User purchasing, requesting, or commissioning products or services through WorkKE.

    Vendor means any freelancer, cybercafé, merchant, business, trainer, consultant, agency, or other User offering products or services through WorkKE.

    Content means text, messages, proposals, job descriptions, listings, graphics, images, software, digital files, videos, documents, links, trademarks, and other material submitted to or made available through the Platform.

    Transaction means an arrangement between Users for products or services initiated or facilitated through WorkKE.

    Escrow means a payment arrangement made available through WorkKE under which funds may be held or otherwise secured pending satisfaction of applicable transaction conditions.

    Contact Information includes phone numbers, email addresses, messaging handles, payment details, social media contact information, or other information that may enable Users to communicate or transact outside WorkKE.

    2. ELIGIBILITY

    To use WorkKE, you must:

    • be at least eighteen (18) years old, or at least thirteen (13) years old with the consent and supervision of a parent or legal guardian;
    • provide accurate, complete, and current information;
    • have the legal capacity or appropriate authorization to enter into transactions through the Platform;
    • comply with applicable laws and regulations; and
    • use the Platform only for lawful purposes.

    WorkKE may refuse registration or suspend, restrict, or terminate an account where reasonably necessary to protect Users or the Platform, comply with legal obligations, or prevent fraud, abuse, or misuse.

    3. WORKKE SERVICES

    WorkKE operates a technology marketplace that may enable Users to:

    • hire freelancers and other professionals;
    • offer freelance and professional services;
    • advertise and respond to jobs;
    • operate cybercafé, merchant, or business storefronts;
    • buy and sell eligible digital products;
    • access training and learning resources;
    • communicate through Platform messaging features;
    • use marketplace payment and escrow features;
    • submit proposals and manage projects;
    • access digital tools and other Platform services.

    WorkKE may introduce, modify, suspend, restrict, or discontinue features where reasonably necessary.

    The availability of a feature to one User does not guarantee that the same feature will be available to every User.

    4. USER ACCOUNTS

    Users are responsible for maintaining the security and confidentiality of their account credentials.

    You agree to:

    • provide accurate registration information;
    • keep your login credentials secure;
    • maintain only accounts permitted by WorkKE;
    • keep your account details current;
    • promptly notify WorkKE of suspected unauthorized access; and
    • not sell, transfer, rent, or improperly share your account.

    You remain responsible for activities conducted through your account until WorkKE is notified of unauthorized access.

    WorkKE may implement security measures including login verification, device monitoring, identity verification, fraud detection, transaction monitoring, and account risk controls.

    5. IDENTITY VERIFICATION (KYC)

    To maintain a trusted marketplace and meet legal, payment, fraud-prevention, or compliance requirements, WorkKE may require identity or business verification.

    Depending on the account, transaction value, account activity, applicable law, or assessed risk, WorkKE may request:

    • National ID or Passport;
    • selfie or live identity verification;
    • verified phone number or email address;
    • business registration documents;
    • KRA PIN;
    • bank or M-PESA verification; or
    • other documentation reasonably required for verification or compliance purposes.

    Failure to complete required verification may result in restrictions on listings, proposals, payments, withdrawals, wallet access, transactions, or continued use of the Platform.

    Identity verification reduces marketplace risk but does not constitute a guarantee by WorkKE regarding the conduct, identity, quality, reliability, or suitability of another User.

    6. ACCEPTABLE USE

    Users must use WorkKE lawfully, honestly, professionally, and in good faith.

    You must not:

    • provide false or misleading information;
    • impersonate another person or organization;
    • engage in fraud or facilitate unlawful activity;
    • manipulate marketplace transactions;
    • circumvent WorkKE fees, escrow arrangements, payment controls, or marketplace protections;
    • upload malware or interfere with Platform operations;
    • attempt unauthorized access to WorkKE systems or accounts;
    • collect, disclose, or misuse personal information without authorization;
    • infringe intellectual property rights;
    • offer prohibited products or services;
    • harass, threaten, abuse, discriminate against, or unlawfully target another User;
    • manipulate reviews, ratings, referrals, transactions, or Platform metrics;
    • misuse promotions, credits, coins, rewards, or other Platform benefits; or
    • use WorkKE in any manner reasonably considered fraudulent, abusive, deceptive, or harmful.

    WorkKE may remove or moderate Content, restrict Platform features, review transactions, suspend accounts, or terminate access where these Terms or applicable WorkKE policies are violated.

    7. COMMUNICATIONS AND CONTACT SHARING

    WorkKE provides communication tools to allow Clients and Vendors to discuss projects and complete transactions safely through the Platform.

    Users must not intentionally use WorkKE messages, job descriptions, proposals, listings, profiles, attachments, or other Platform features to circumvent WorkKE's marketplace, escrow, payment, or fee systems.

    Before applicable transaction requirements have been satisfied, Users must not attempt to share or request Contact Information for the purpose of moving a WorkKE transaction outside the Platform.

    This may include:

    • phone numbers;
    • email addresses;
    • WhatsApp, Telegram, or similar messaging details;
    • direct payment instructions;
    • bank or mobile-money details intended to bypass WorkKE;
    • links primarily intended to move a transaction outside WorkKE;
    • written-out or disguised phone numbers;
    • disguised email addresses; or
    • coded, spaced, altered, or otherwise obscured Contact Information.

    Attempts to bypass these restrictions by deliberately disguising Contact Information may themselves constitute a violation.

    7.1 Permitted Links

    WorkKE may allow certain external links where reasonably required for legitimate purposes such as:

    • portfolio review;
    • professional profiles;
    • source-code review;
    • design review;
    • document collaboration; or
    • delivery or assessment of services.

    Permitted services may include professional, portfolio, development, design, and document-sharing platforms approved by WorkKE.

    Permission to share a link does not authorize Users to circumvent WorkKE payments, fees, escrow, or marketplace protections.

    7.2 Contact Sharing After Commitment

    WorkKE may permit contact sharing once specified marketplace requirements have been satisfied.

    This may include where:

    • a job has been awarded and applicable escrow or payment requirements have been completed; or
    • the relevant Users have previously completed an eligible transaction together through WorkKE.

    WorkKE may determine and update the conditions under which contact sharing becomes available.

    Public areas, including job descriptions, proposals, listings, and other publicly accessible Content, may remain subject to Contact Information restrictions regardless of transaction status.

    8. AUTOMATED CONTACT AND CIRCUMVENTION DETECTION

    To protect Users, prevent fraud, maintain marketplace integrity, and enforce these Terms, WorkKE may use automated and manual systems to identify Content that may contain:

    • Contact Information;
    • disguised Contact Information;
    • requests to communicate outside WorkKE;
    • requests for direct payment;
    • attempts to circumvent WorkKE fees;
    • attempts to bypass escrow or payment protections;
    • suspicious links; or
    • other Content potentially violating these Terms or WorkKE policies.

    These systems may analyse messages, job descriptions, proposals, listings, and other Content submitted through the Platform.

    Where potentially prohibited information is detected, WorkKE may:

    • provide a warning before submission;
    • flag the Content for review;
    • record the event for trust and safety purposes;
    • mask or replace part of the Content;
    • display notices such as "[contact hidden]";
    • restrict delivery or visibility where necessary; or
    • apply appropriate account safeguards.

    Where possible, permitted portions of a communication may continue to be delivered.

    Automated systems may occasionally identify permitted Content incorrectly. Users may request review through available WorkKE support or moderation processes.

    9. MODERATION, WARNINGS AND POLICY VIOLATIONS

    WorkKE may maintain moderation records where Content or activity is suspected of violating these Terms.

    Records may include:

    • original submitted Content;
    • moderated or displayed Content;
    • reason for the moderation flag;
    • relevant account information;
    • date and time;
    • relevant Platform feature or surface;
    • previous warnings or policy violations; and
    • enforcement actions taken.

    Access to original moderated Content will be limited to authorized persons where reasonably necessary for moderation, security, support, dispute resolution, fraud prevention, legal, audit, or compliance purposes.

    Where appropriate, WorkKE may use proportionate enforcement measures including:

    1. educational notices;
    2. warnings;
    3. recording policy violations;
    4. temporary restrictions on messaging or other Platform features;
    5. transaction or account review;
    6. suspension; or
    7. account termination.

    Repeated attempts to disguise Contact Information or intentionally circumvent WorkKE's marketplace protections may result in stronger enforcement.

    WorkKE is not required to apply these measures in a particular sequence.

    Serious fraud, unlawful conduct, threats, security incidents, repeated abuse, or other significant violations may result in immediate restriction, suspension, or termination.

    Where WorkKE determines that Content was incorrectly flagged, it may restore the affected Content and reverse or correct associated enforcement records.

    10. PAYMENTS, ESCROW AND TRANSACTIONS

    Payments made through WorkKE may be processed through approved third-party payment providers.

    WorkKE facilitates marketplace transactions but is not a bank, deposit-taking institution, or licensed payment service provider unless expressly stated otherwise.

    Depending on the applicable transaction, WorkKE may provide payment, wallet, milestone, escrow, payout, or related marketplace features.

    Payments, withdrawals, transactions, or payouts may be delayed, suspended, restricted, or reviewed where reasonably necessary to:

    • complete identity verification;
    • investigate fraud or suspicious activity;
    • resolve disputes;
    • comply with applicable law;
    • satisfy payment-provider requirements;
    • investigate unauthorized transactions; or
    • protect Users or the Platform.

    Additional terms may apply under the WorkKE Wallet & Payments Policy and applicable payment-provider terms.

    11. OFF-PLATFORM TRANSACTIONS

    WorkKE's escrow, dispute-resolution processes, transaction records, payment protections, and other marketplace safeguards generally apply only to eligible transactions completed through authorized WorkKE processes.

    Users who communicate, make payments, or transact outside WorkKE may lose some or all WorkKE protections relating to that transaction.

    WorkKE may be unable to investigate, recover funds, enforce milestones, verify payments, or resolve disputes arising from off-platform transactions.

    Users must not encourage or assist another User to bypass WorkKE fees, payment systems, escrow arrangements, or marketplace protections.

    Except where liability cannot legally be excluded, WorkKE is not responsible for payments, agreements, losses, disputes, or transactions conducted independently outside the Platform.

    12. MARKETPLACE RELATIONSHIP

    WorkKE operates a technology marketplace that enables independent Users to connect and transact.

    Unless expressly stated otherwise:

    • WorkKE does not employ Vendors;
    • Vendors operate as independent service providers;
    • WorkKE is not the employer, agent, partner, or representative of Users;
    • WorkKE is generally not a party to the underlying service agreement between a Client and Vendor; and
    • Users remain responsible for the services, products, pricing, deliverables, communications, and agreements they enter into.

    WorkKE may facilitate payments, messaging, moderation, escrow, identity verification, and dispute resolution without becoming a party to the underlying service relationship.

    13. USER RESPONSIBILITIES

    All Users are expected to act honestly, professionally, and in good faith.

    Vendors agree to:

    • accurately represent their skills and services;
    • deliver products and services as agreed;
    • meet agreed timelines;
    • communicate professionally;
    • respect intellectual property rights;
    • comply with applicable laws;
    • comply with WorkKE policies; and
    • use authorized payment processes where required.

    Clients agree to:

    • provide accurate project requirements;
    • communicate professionally;
    • fund or make payments as agreed;
    • review completed work fairly;
    • use dispute procedures honestly;
    • not misuse chargebacks or payment disputes; and
    • comply with applicable WorkKE policies.

    14. FEES, COINS, CREDITS AND PLATFORM CHARGES

    WorkKE may charge service fees, transaction fees, subscription fees, verification fees, listing fees, withdrawal fees, commissions, or other charges for certain services.

    Applicable charges will generally be disclosed through the Platform or relevant policy.

    WorkKE may also provide digital credits, coins, promotional balances, or similar Platform benefits.

    Unless otherwise expressly stated:

    • Platform credits and coins are not legal tender;
    • they may only be used for eligible Platform purposes;
    • they cannot be transferred outside the Platform;
    • their use may be subject to additional rules; and
    • promotional credits may expire or be withdrawn where permitted.

    Refunds, reversals, proposal withdrawals, and treatment of unused credits or coins are governed by the applicable WorkKE payment or marketplace policy.

    15. INTELLECTUAL PROPERTY

    WorkKE owns or licenses the intellectual property associated with the Platform, including its software, branding, trademarks, logos, graphics, interface elements, and original Content.

    Users retain ownership of original Content they create and upload.

    By uploading Content to WorkKE, you grant WorkKE a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, distribute, process, moderate, and otherwise use that Content as reasonably necessary to:

    • operate the Platform;
    • provide requested services;
    • maintain security;
    • enforce these Terms;
    • improve WorkKE; and
    • market or promote the Platform where appropriate.

    You warrant that you own or have sufficient rights to Content you upload.

    16. PRIVACY AND DATA PROTECTION

    WorkKE processes personal information in accordance with applicable privacy and data protection requirements, including the Kenya Data Protection Act, 2019.

    Information may be processed for purposes including:

    • providing Platform services;
    • facilitating transactions;
    • processing payments;
    • identity verification;
    • account security;
    • customer support;
    • fraud prevention;
    • detecting prohibited contact sharing;
    • identifying attempted fee or payment circumvention;
    • enforcing these Terms;
    • dispute resolution;
    • legal and regulatory compliance; and
    • improving Platform safety and reliability.

    Trust and safety processing may involve automated technologies.

    Where required by applicable law, WorkKE will provide appropriate information regarding relevant automated processing and mechanisms through which Users may exercise applicable rights or request review.

    Additional information regarding collection, processing, retention, protection, sharing, and deletion of personal information is contained in the WorkKE Privacy Policy.

    17. SUSPENSION, RESTRICTION AND TERMINATION

    WorkKE may restrict, suspend, or terminate an account where it reasonably believes that a User has:

    • violated these Terms or another WorkKE policy;
    • engaged in fraud or unlawful activity;
    • failed required identity verification;
    • abused another User or the Platform;
    • repeatedly attempted to circumvent WorkKE;
    • manipulated Platform systems or transactions;
    • created material security, financial, legal, operational, or reputational risk; or
    • otherwise misused the Platform.

    WorkKE may also restrict specific features without suspending the entire account.

    Where appropriate, Users may be informed of the reason for an enforcement action and provided with an available review or appeal mechanism.

    WorkKE may retain relevant account, transaction, security, and moderation records where reasonably necessary for fraud prevention, dispute resolution, legal, regulatory, audit, or compliance purposes.

    18. DISPUTE RESOLUTION

    Users should first attempt to resolve marketplace disputes through WorkKE's available dispute-resolution process.

    WorkKE may review available transaction records, communications, milestones, payment records, deliverables, and other relevant evidence.

    WorkKE may determine an appropriate marketplace resolution in accordance with applicable policies.

    These Terms are governed by the laws of the Republic of Kenya.

    Any dispute that cannot be resolved through applicable Platform procedures shall be subject to the jurisdiction of the courts of Kenya, subject to any rights or procedures that cannot lawfully be excluded.

    19. THIRD-PARTY SERVICES

    WorkKE may integrate with third-party services including payment providers, identity-verification providers, communications services, hosting providers, analytics services, and other technology providers.

    Third-party services may be governed by their own terms and privacy policies.

    WorkKE is not responsible for the independent acts or omissions of third parties except to the extent required by applicable law.

    20. LIMITATION OF LIABILITY

    To the fullest extent permitted by applicable law:

    • the Platform is provided on an "as available" and "as is" basis;
    • WorkKE does not guarantee uninterrupted or error-free operation;
    • WorkKE does not guarantee that every User will successfully obtain work, hire a Vendor, make a sale, or complete a transaction;
    • WorkKE does not guarantee the quality, legality, safety, suitability, or reliability of products or services offered by Users;
    • WorkKE is not responsible for independent agreements or disputes between Users;
    • WorkKE shall not be liable for indirect, incidental, special, consequential, or punitive damages where such liability may legally be excluded; and
    • WorkKE is not responsible for failures caused by banks, payment providers, telecommunications networks, internet providers, or circumstances beyond its reasonable control.

    Nothing in these Terms excludes or limits any liability, remedy, or consumer right that cannot lawfully be excluded or limited.

    21. FORCE MAJEURE

    WorkKE shall not be responsible for delay or failure resulting from circumstances beyond its reasonable control, including:

    • natural disasters;
    • internet or telecommunications outages;
    • cyberattacks;
    • infrastructure failures;
    • labour disputes;
    • government actions;
    • public health emergencies;
    • payment network outages; or
    • failures of third-party service providers.

    WorkKE will take reasonable steps to restore affected services where practicable.

    22. RESERVATION OF RIGHTS

    WorkKE reserves the right, subject to applicable law, to:

    • refuse or restrict access to the Platform;
    • reject, hide, mask, moderate, or remove Content;
    • reject or remove listings;
    • restrict communication features;
    • investigate suspicious activity;
    • suspend or terminate accounts;
    • delay or suspend transactions or payouts;
    • request additional verification;
    • investigate suspected fraud, abuse, or circumvention;
    • correct moderation decisions or restore incorrectly flagged Content; and
    • take reasonable action necessary to protect Users, payment providers, WorkKE, or the integrity and security of the Platform.

    23. ELECTRONIC COMMUNICATIONS

    By using WorkKE, you consent to receive permitted electronic communications including:

    • transaction notifications;
    • account notices;
    • security alerts;
    • invoices and receipts;
    • marketplace notifications;
    • moderation or policy notices;
    • legal notices;
    • policy updates; and
    • marketing communications where permitted by law.

    Where legally permitted, electronic communications satisfy requirements that communications be provided in writing.

    Users may manage eligible communication preferences through available Platform settings.

    24. FEEDBACK

    Users may provide feedback, ideas, suggestions, or recommendations concerning WorkKE.

    Unless otherwise agreed in writing, WorkKE may use such feedback without restriction or compensation, provided that such use complies with applicable law.

    25. CHANGES TO THESE TERMS

    WorkKE may revise these Terms from time to time to reflect changes in:

    • applicable laws or regulations;
    • Platform functionality;
    • marketplace operations;
    • payment services;
    • security practices;
    • moderation systems;
    • technology; or
    • business requirements.

    The Last Updated date will indicate when these Terms were most recently revised.

    Where appropriate or required by law, material changes may be communicated through the Platform, email, account notifications, or another reasonable method.

    Continued use of WorkKE after revised Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.

    26. SEVERABILITY

    If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force to the extent permitted by law.

    27. WAIVER

    Failure by WorkKE to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

    Any waiver must be expressly made by WorkKE.

    28. ENTIRE AGREEMENT

    These Terms, together with the:

    • Privacy Policy;
    • Vendor Agreement;
    • Wallet & Payments Policy;
    • Acceptable Use Policy; and
    • other applicable policies published by WorkKE,

    constitute the agreement governing your use of the Platform and supersede prior agreements concerning the same subject matter, except where otherwise expressly agreed in writing.

    We use measures including identity verification, payment protections, marketplace moderation, fraud prevention, transaction monitoring, dispute resolution, and appropriate automated security controls to protect Users and the Platform.

    Our communication safeguards are designed to reduce fraud and discourage Users from bypassing marketplace protections while allowing legitimate collaboration necessary to complete work.

    By using WorkKE, you agree to act lawfully, professionally, honestly, and in good faith, respect the rights of other Users, and protect the integrity of the WorkKE marketplace.
